The short version
- You are buying from the venue, not from us. The venue sets the prices, makes the food, and handles refunds.
- Your card goes to the venue's payment processor. We never see or keep your full card number.
- Angie is an AI assistant. It can be wrong. Always confirm allergens and ingredients with the venue.
- Use the pages as a guest, not a robot. No scraping, no bots, no fraud.
- Talk to the venue first about an order or a charge. Talk to us about the page or your information.
The rest of these terms explains each point. Please read them. They include a limit on our liability and a choice of New York law and courts, with an exception that lets you use small claims court.
Who we are and when these terms apply
Vitabyte, Inc. ("Vitabyte", "we", "us") is a New York corporation that makes software for restaurants, bars and other venues. These Guest Terms apply when you, as a guest, use any of the following:
- a venue's online ordering or payment page;
- a payment link the venue sends you;
- a code printed on your check or receipt ("scan to pay");
- Angie Eats, our guest ordering app and website;
- Angie, the AI assistant that answers questions for a venue on its page, in the app, or by phone;
- a gift card, membership, wallet pass, booking or receipt page.
We call all of these the "Guest Services". When you tick the box at checkout, place an order, pay, or start a conversation with Angie, you agree to these terms. The page records the version of these terms that you were shown.
Our Privacy Policy explains how information about you is handled. The venue's own terms and privacy notice may also apply to your purchase.
The venue is the seller
When you order or pay through the Guest Services, your contract is with the venue.
- The venue is the seller and the merchant of record. The food, drinks and service, the menu, prices, taxes, fees, tips, wait times, delivery, and refunds are between you and the venue.
- Your payment is processed by the venue's payment processor under the venue's own merchant account. The money is paid to the venue.
- Vitabyte provides the software only. We are not a bank, a payment processor or a money transmitter. We do not sell you anything, prepare your food, deliver your order, or hold your money.
Ordering
- The venue decides what it offers, when, and at what price. Menus, photos, descriptions and availability come from the venue and can change. An item may sell out after you order; the venue will tell you and adjust or refund it.
- Your order is an offer to buy. It is accepted when the venue confirms it. The venue may decline or cancel an order, for example if it is closed, an item is unavailable, or a price was shown in error.
- Pickup and delivery times are estimates from the venue or its delivery partner.
- Some items, such as alcohol, may need proof of age at pickup or delivery. The venue decides whether to sell them to you.
- Please give accurate contact and delivery details. The venue uses them to make and hand over your order.
Allergies, ingredients and dietary needs
Allergen, ingredient and nutrition information comes from the venue. We do not check it. Kitchens handle many ingredients, recipes change, and cross-contact can happen.
If you have an allergy or a dietary need, tell the venue directly and confirm with it before you eat, even if a menu, a filter, or Angie says an item is safe. Do not rely on the Guest Services alone for anything that affects your health.
Paying
Your card details
You type your card number, expiry date and security code into fields served by the payment processor, or tap or insert your card at the processor's terminal. Those details go only to the processor. Neither the venue's page nor Vitabyte receives or stores them. We keep only the card brand and last four digits for your receipt and the venue's records. Apple Pay and Google Pay, where offered, pass the payment through your wallet and the processor.
If you ask the venue to keep your card on file, for example to renew a membership, the payment processor keeps the card and we store only the processor's token. You can ask the venue to remove it at any time.
What you pay
- The amount comes from the venue's own check or order, not from a number typed into the page. The page shows each part before you pay: the items, tax, any fee, the tip you choose, and the total.
- Card surcharges and fees. Some venues add a fee for paying by card. Where they do, the page names it and shows it on its own line before you pay. A credit card surcharge is limited by card network rules and is not charged on debit or prepaid cards. Some states restrict card surcharges; the venue is responsible for following the rules where it operates.
- Cash and card prices. Some venues show one price for cash and another for cards. The price you pay depends on how you pay, and the venue shows both.
- Tips. A tip you add goes to the venue for its staff and is shared under the venue's policy and the law. Suggested tip amounts are the venue's choice. You can choose another amount or none, unless a service charge is stated as part of the price.
If a payment does not go through
If a page says your payment is still being confirmed, do not pay again. Wait, or ask the venue. The page will show the result once the processor confirms it. If you are charged twice, contact the venue.
Refunds, cancellations and disputes
- The venue decides refunds and cancellations under its own policy. A refund goes back to the card you paid with. How long it takes to appear depends on your card issuer.
- Gift cards and memberships are issued by the venue, under the terms shown on their pages.
- If there is a problem with an order or a charge, contact the venue first. Your rights with your card issuer, including the right to dispute a charge, are not affected by these terms.
Receipts and messages
- You can have a receipt sent by email or text message. A receipt link works for 90 days.
- The venue receives your order and the contact details you give. It may send you marketing only if you agree, and agreeing is never a condition of buying. You can stop text messages at any time by replying STOP. Message and data rates may apply.
Talking with Angie
Angie is an AI assistant. A venue may use Angie to answer questions about its menu, hours and orders, and to help you place an order. Please keep these points in mind:
- Angie can be wrong. Answers are produced by a computer model and may be incomplete, out of date or mistaken. Check anything important with the venue.
- Angie answers from the venue's information. It uses only the data the venue has made available to it. If the venue's information is wrong, Angie's answer may be wrong too.
- Not professional advice. Nothing Angie says is medical, nutritional, legal, financial or other professional advice.
- Allergens: confirm with the venue. Angie may repeat the venue's allergen information, but it cannot guarantee that a dish is safe for you.
- Check your order before you pay. If Angie helps build an order, review the items and total on the checkout screen. The order is what you confirm there.
- Do not share sensitive information. Do not tell Angie card numbers, passwords, Social Security numbers, health details or other sensitive information. Angie never needs your card number; payment always goes through the processor's own fields or terminal.
- Conversations may be stored. What you say to Angie, and Angie's replies, may be kept for the venue and used to provide and secure the service, as our Privacy Policy describes. If you call a venue that uses Angie by phone, what you say is converted to text.
- No training of outside models. We do not let third-party AI providers train their models on your conversations.
- Be respectful. Do not try to make Angie say harmful things, reveal other people's information, or ignore its instructions.
Angie Eats
Angie Eats lets you find venues and order from them in one place.
- Each order is placed with the venue shown on it. The venue is the seller for that order, and everything above about ordering, paying, allergens and refunds applies.
- If you create an Angie Eats account, keep your sign-in details private and tell us in writing by mail (certified mail or courier) to Vitabyte, Inc., Attn: George Karabelas, CEO, 3525 30th Ave, Suite 306, Astoria, NY 11103, if you think someone else has used your account. You are responsible for activity on your account that you could reasonably have prevented.
- You must be at least 18, or the age of majority where you live, to create an account. Younger guests may order only with a parent or guardian.
- We may suspend or close an account that breaks these terms.
- Ratings, comments or photos you post must be honest and lawful, and must not include other people's personal information. You give us and the venue permission to display them in connection with the Guest Services.
What you must not do
To keep the Guest Services fair, fast and safe for guests and venues, you agree not to:
- scrape menus, prices, photos, reviews, availability or other content, by any automated means, or copy them into another product or database;
- use bots, scripts or automated tools to place, hold, cancel or test orders, book tables, or claim offers;
- use an AI agent or other automated system to extract information in bulk or to order or pay, unless it uses Vitabyte's documented agentic-commerce interface under the terms that govern that interface;
- reverse engineer, decompile, disassemble or try to find the source code of the Angie Eats app, the ordering pages or Angie, except where the law allows it despite this limit;
- get around rate limits, security checks, age checks or other protections, or probe, scan or test the Guest Services for weaknesses without our written permission;
- place fake orders, use a card or account that is not yours, or give false details;
- abuse chargebacks, for example by disputing a charge for an order you received as described, or by repeatedly ordering and disputing;
- misuse promotions, gift cards, loyalty points or referral offers;
- harass venue staff, delivery drivers or Angie, or send unlawful, abusive or misleading content;
- interfere with the Guest Services, overload them, or introduce malware;
- use the Guest Services in any way that breaks the law or our Acceptable Use Policy.
We and the venue may refuse or cancel an order, block access, report fraud to the payment processor or the authorities, and take other lawful steps if we reasonably believe these rules have been broken.
Our software and content
The Guest Services, including the Angie Eats app, the ordering pages and Angie, belong to Vitabyte and its licensors. Menus, photos and logos belong to the venues. We give you a personal, limited, non-transferable permission to use the Guest Services to order, pay and talk with venues for your own non-commercial use. We may update, change or stop parts of the Guest Services at any time.
Disclaimers
We work to keep the Guest Services reliable and secure. However, to the fullest extent the law allows:
- the Guest Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement;
- we do not promise that the Guest Services will be uninterrupted or error-free, or that Angie's answers will be accurate;
- we are not responsible for the venue's food, drinks, service, prices, fees, allergen information, delivery or refund decisions, or for the payment processor's or delivery partner's services.
Some places do not allow certain disclaimers, so some of these may not apply to you.
Limit on our liability
To the fullest extent the law allows:
- Vitabyte will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, arising from your use of the Guest Services;
- Vitabyte's total liability to you for all claims about the Guest Services is limited to the greater of the amount you paid through the Guest Services in the 12 months before the claim arose or one hundred US dollars (US$100).
These limits do not apply to liability that the law does not allow to be limited, such as for our gross negligence, wilful misconduct, fraud, or personal injury caused by our negligence. They do not limit what you can claim from the venue for its own food and service.
If something goes wrong
Please contact the venue first about any order or charge. For anything about the Guest Services themselves, write in writing by mail (certified mail or courier) to Vitabyte, Inc., Attn: George Karabelas, CEO, 3525 30th Ave, Suite 306, Astoria, NY 11103.
Law and where disputes are decided
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and by applicable US federal law.
Any dispute between you and Vitabyte about the Guest Services will be decided in the state or federal courts located in the Eastern District of New York, and you and we agree to the personal jurisdiction of those courts.
Small claims. Either of us may instead bring a claim in a small claims court in the county where you live, or in Kings County or Queens County, New York, if the claim qualifies for that court and stays there on an individual basis.
Nothing in these terms takes away any right you have under the consumer protection laws of the place where you live that cannot be waived by contract.
Changes to these terms
We may update these terms from time to time. The version shown at checkout or at the start of a conversation is the one that applies to that order or conversation. We record which version you accepted. If you keep using the Guest Services after an update, the new version applies to your later use.
Other legal points
- If any part of these terms cannot be enforced, the rest still applies.
- If we do not enforce a term straight away, we can still enforce it later.
- You may not transfer your rights under these terms. We may transfer ours to a company that takes over the Guest Services.
- These terms, together with our Privacy Policy and Acceptable Use Policy, are the whole agreement between you and Vitabyte about the Guest Services. The venue's own terms govern your purchase from it.
